Terms of Service

1. Acceptance of terms

By accessing or using Glacier ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Black Bear Studio ("we", "us", "our"), the entity operating Glacier at getglacier.ai.

2. Description of service

Glacier is a flow-based project management workspace for technical teams. It provides kanban boards, linked documentation, analytics, and an MCP (Model Context Protocol) server that allows AI agents to read and write workspace content.

The Service is currently in private beta. Features, availability, and pricing may change without notice.

3. Accounts and authentication

Access to Glacier requires an account. Authentication is handled by Clerk (clerk.com). By creating an account, you also agree to Clerk's terms of service.

You are responsible for maintaining the security of your account credentials, including any API keys generated for MCP access. Do not share your API keys. If you believe your credentials have been compromised, revoke them immediately from Account Settings.

You must be at least 16 years old to use the Service.

4. User content and data ownership

You retain full ownership of all content you create in Glacier — cards, documents, comments, and any other workspace data ("User Content").

By using the Service, you grant Black Bear Studio a limited, non-exclusive licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

We do not use your workspace content for AI training, sell it to third parties, or share it beyond what is necessary to operate the Service.

You are responsible for ensuring that any User Content you create does not violate applicable laws or third-party rights.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Introduce malware, viruses, or any other harmful code
  • Scrape, harvest, or systematically collect data from the Service without written permission
  • Impersonate any person or entity
  • Use the MCP server to access workspace data belonging to another user without their permission

6. Intellectual property

The Glacier software, design, trademarks, and brand assets are owned by Black Bear Studio. Nothing in these Terms grants you any right to use our intellectual property beyond what is necessary to use the Service.

Open-source components used in the Service remain subject to their respective licences.

7. Service availability (beta disclaimer)

The Service is provided in private beta. We do not guarantee uptime, data persistence, or feature availability. We may:

  • Suspend or discontinue the Service at any time
  • Modify, add, or remove features without notice
  • Impose usage limits at our discretion

We will make reasonable efforts to notify users of significant changes.

8. Limitation of liability

To the maximum extent permitted by applicable law, Black Bear Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or business interruption.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you have paid us in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Service, or third parties.

You may stop using the Service at any time. Upon termination, you may request a copy of your data. We will retain your data for 30 days after termination before deletion, unless required otherwise by law.

10. Governing law

These Terms are governed by the laws of Italy. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.

If you are an EU consumer, you may also be entitled to the mandatory consumer protection provisions of your country of residence.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email or a notice in the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
